# Terms of Service **Future Vision Concepts, LLC (FVC Solutions)** **Effective date: June 11, 2026** These Terms of Service ("Terms") are a binding agreement between you and Future Vision Concepts, LLC, doing business as FVC Solutions ("FVC," "we," "us," or "our"), governing your use of our website at fvcsolutions.com (the "Site") and our software products, applications, and related services, including products distributed through the Apple App Store and Google Play (together with the Site, the "Services"). These are umbrella terms that apply to all FVC Services. Individual products may have their own terms of service or supplemental terms — available within that product or on its website — and you should review them before using that product. Where product-specific terms conflict with these Terms, the product-specific terms control for that product; for anything they do not address, these Terms apply. ## 1. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription or enter into these Terms. The Services are not intended for children under 13. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to the organization. ## 2. Accounts Some Services require an account. You agree to provide accurate information, keep it up to date, and keep your credentials secure. You are responsible for all activity under your account. Subscriptions, Billing, and Renewal - **Payment processing.** Paid Services are billed through Stripe, Inc., or through the Apple App Store or Google Play if you purchase within a mobile app. By providing a payment method, you authorize us (or the applicable platform) to charge the fees for your selected plan, plus applicable taxes. - **Automatic renewal.** Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. - **Price changes.** We may change subscription prices with at least 30 days' advance notice. Changes take effect at your next renewal; if you do not agree, cancel before the renewal date. - **Taxes.** Quoted prices exclude taxes unless stated otherwise. You are responsible for any applicable sales, use, or similar taxes. ## 4. Cancellation and Refunds - **Cancellation.** You may cancel a subscription at any time through the account or billing settings of the relevant product, through the platform you purchased from (Apple App Store or Google Play), or by emailing legal [at] fvcsolutions.com. Cancellation takes effect at the end of the current billing period, and you retain access to the paid Services until then. - **No partial refunds.** Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or downgrades. - **App store purchases.** Refunds for purchases made through the Apple App Store or Google Play are governed by the refund policies of Apple or Google, and refund requests for those purchases must be directed to the platform. ## 5. Acceptable Use You agree not to: - Use the Services in violation of any applicable law or regulation; - Infringe, misappropriate, or violate the rights of others; - Upload or transmit malicious code, or attempt to probe, scan, breach, or test the vulnerability of the Services without authorization; - Access the Services by automated means to scrape data, or interfere with or disrupt the integrity or performance of the Services; - Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law; - Resell, sublicense, or provide the Services to third parties except as expressly permitted; - Misrepresent your identity or affiliation. We may suspend or terminate access for violations of this section. ## 6. Your Content You retain ownership of content you create, upload, or submit to the Services ("Your Content"). You grant FVC a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to provide and improve the Services, including processing by the service providers described in our Privacy Policy. You are responsible for Your Content and represent that you have the rights necessary to grant this license. ## 7. AI Features Some Services include features powered by artificial intelligence, which may process Your Content through third-party AI model providers as described in our [Privacy Policy](https://fvcsolutions.com/privacy). AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing output before relying on it, and you should not treat output as professional advice (legal, financial, medical, or otherwise). To the extent permitted by law, we assign to you any rights we hold in AI output generated for you through the Services. ## 8. Intellectual Property The Services, including software, design, text, graphics, and logos, are owned by FVC or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No rights are granted except as expressly set out in these Terms. ## 9. Third-Party Services The Services may link to or interoperate with third-party services, including Stripe, Calendly, Apple, and Google. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for third-party services. ## 10. Apple App Store Terms If you downloaded a product from the Apple App Store, the following applies: these Terms are between you and FVC, not Apple. Apple has no obligation to provide maintenance or support for the product and is not responsible for any product warranty, product claims, intellectual property claims, or claims relating to legal or regulatory requirements. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. ## 11. Termination You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if we discontinue a Service (in which case we will provide reasonable advance notice for paid Services and a pro-rata refund of prepaid, unused fees for the discontinued Service). Sections that by their nature should survive termination — including Sections 6, 8, and 12 through 16 — survive. ## 12. Disclaimers THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FVC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE. ## 13. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW: (A) FVC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) FVC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO FVC FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. ## 14. Indemnification You agree to indemnify and hold harmless FVC and its members, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Services in violation of these Terms, or your violation of any law or third-party right. ## 15. Governing Law and Disputes These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction and venue of those courts. ## 16. General - **Changes to these Terms.** We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new effective date and, where appropriate, provide additional notice. Continued use of the Services after the effective date constitutes acceptance. - **Entire agreement.** These Terms, together with the Privacy Policy and any supplemental product terms, are the entire agreement between you and FVC regarding the Services. - **Severability.** If any provision is found unenforceable, the remaining provisions remain in effect. - **Assignment.** You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. - **Waiver.** A failure to enforce a provision is not a waiver of the right to enforce it later. ## 17.
